Terms & Conditions of Sale

1. Application

These Terms govern the sale by Fagan Office Supplies Ltd to you of Products for which you place an order that is accepted by us. Note that our catalogues and websites are intended for business users only, and we reserve the right to refuse service and cancel orders to non-business customers. Additional terms and conditions apply to orders placed on our BrandHub affiliate webpages. Your acceptance of the Products shall be deemed to constitute acceptance of these Terms.

BrandHub Registration
In order to access the services of our affiliate partner, BrandHub, you must become a registered user on their website via a link on our website. You must complete registration by providing certain information as set out on our registration page. Please refer to the BrandHub Privacy Policy linked on the BrandHub home page for information relating to their collection, storage and use of the details you provide on registration. You agree to ensure that your registration details are true and accurate at all times and you undertake to update your registration details from time to time when they change. On registration, BrandHub provide a password and User Name. On registration you agree to the terms and conditions set out on the BrandHub website. BrandHub reserves the right to terminate your registration at any time if you breach these terms and conditions.

2. Orders

You can order Fagan Office Supplies merchandise anytime at www.fos.ie or by phone to 044 9331200. Our lines are open Monday to Friday 9.00am to 6.00pm. Although we aim to process all orders same day, if you order after 5.00pm or at the weekend please assume that delivery will be as if your order had been placed the next working day.

Promotional items ordered from our affiliate partner, BrandHub, can be placed anytime online or by calling 044 9331200 during opening hours. Delivery times will vary by product, and will be confirmed at the time your order is placed.

By placing an order you warrant that you are a business user. All orders placed by you are subject to acceptance by FAGAN OFFICE SUPPLIES LTD reserves the right to revise prices, limit quantities, correct errors in its catalogue and refuse orders at its discretion including, without limitation, orders from distributors, dealers and warehouse stores, or orders in a size that are unlikely to be for business purposes.

If an error is discovered in the price of the goods that you have ordered, we will inform you as soon as possible. In the event that you order an item and the price published on the Site is incorrect for any reason, we will contact you upon discovery of the error to let you know the correct price and ask you whether you still wish us to fulfil your order at this price. We shall be under no obligation to fulfil an order for a product which was advertised at an incorrect price. Should we have fulfilled the order before discovering the error, we reserve the right to take back the goods and refund you the purchase price or charge you the correct amount.

Except as may otherwise be permitted by applicable law, you may not cancel an order which FAGAN OFFICE SUPPLIES LTD has accepted without the agreement in writing of FAGAN OFFICE SUPPLIES LTD, which requirement may be waived by FAGAN OFFICE SUPPLIES LTD from time to time in its sole discretion. Prices are exclusive of VAT at 23% (subject to government alterations). Ownership and title remains with FAGAN OFFICE SUPPLIES LTD until full payment for products has been received.

Product Descriptions

We strive to ensure that our products are described as accurately as possible on our website, however we do not warrant that the description is accurate. Where we become aware of any misdescription, we reserve the right to correct any error or omission.

Images have been provided for illustrative purposes only and we do not guarantee that any image will reproduce in true colour nor that any given image will reflect or portray the full design or options relating to that product.

BrandHub Pricing

All prices quoted are shown to registered BrandHub users are exclusive or inclusive of Vat depending on customer login. The only possible additional charge above the price quoted for the item is a carriage charge as specified below. The Vat element of each purchase is clearly detailed at checkout and on the Portfolio Group invoice.

On occasion, the retail prices shown on the BranhHub website prices may differ to the in-store prices of your chosen associate retailer.

The BrandHub website contains a large number of Products and it is always possible that, despite our best efforts, some of the Products listed on our site may be incorrectly priced. We will normally verify prices as part of our dispatch procedures so that, where a Product's correct price is less than our stated price, we will charge the lower amount when dispatching the Product to you. If a Product's correct price is higher than the price stated on our site, we will normally, at our discretion, either contact you for instructions before dispatching the Product, or reject your order and notify you of such rejection. We are under no obligation to provide the Product to you at the incorrect (lower) price, even after we have sent you a Dispatch Confirmation, if the pricing error is obvious and unmistakeable, and could have reasonably been recognised by you as a mis-pricing.

3. Delivery

Because we know how important it is to get the supplies you need, we aim (but do not guarantee) to deliver all orders on your next delivery day as per our delivery routes Please see table below, although certain items such as furniture may take longer (see below). Orders placed Monday to Thursday will be delivered on your next delivery day as per our delivery routes. Orders received on Friday will be delivered on your next delivery day as per our delivery routes. Customers will be advised at time of order if this is the case. FAGAN OFFICE SUPPLIES LTD cannot be held responsible for any consequential loss due to late or non-delivery. Please note these routes are subject to change.

Note that oversized or bulky items may require additional delivery time and some products are delivered to customers directly by the manufacturer and some manufacturers are unable to deliver outside of Ireland FAGAN OFFICE SUPPLIES LTD shall endeavour to inform you of extended delivery times at the time you place your order. In any case, FAGAN OFFICE SUPPLIES LTD shall not be liable for any cost or damage caused by late or non-delivery of the Products. Any delay in delivery of the Products shall not give you a right to reject the Products or cancel your order. FAGAN OFFICE SUPPLIES LTD reserves the right to deliver the Products in instalments.

Delivery times are between 8.00 am and 5.00 pm. We cannot specify an exact time when we will deliver. The delivery driver needs to obtain a signature for all parcels. If you are unavailable to accept delivery, your order may be left with a neighbour if they are willing to sign for it.

Timescales for furniture deliveries are usually between 3 and 5 working days, although certain ranges may take up to 3 weeks. Please note that delivery days quoted are working days, and for some areas delivery could take longer. Also additional carriage costs may apply to these areas. For further information on carriage costs or delivery timescales, please contact Customer Services on 044 9331200 Information regarding assembly services can be found on individual furniture ranges. Please note the use of an electric screwdriver for the assembly of chairs will void your guarantee.

Delivery of Promotional items ordered from our affiliate partner BrandHub within Ireland are subject to a carriage charge unless our minimum order value of €150 or £125 is reached. Orders Under £125 / €150 will be charged at £8.50 / €10 per delivery. BrandHub items can be delivered outside Ireland but delivery costs will be quoted upon receipt of order. Import Duty

If you order Products from our site for delivery outside Ireland, they may be subject to import duties and taxes which are levied when the delivery reaches the specified destination. You will be responsible for payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before placing your order. Please also note that you must comply with all applicable laws and regulation for the country for which the Products are destined. We will not be liable for any breach by you of any such laws.

4. Payment

Unless you are a FAGAN OFFICE SUPPLIES LTD Credit Account Holder, you must pay for the Products at the time you place your order. If you are an account holder, please be aware that under Irish laws, we are entitled to levy interest and a late payment compensation fee on overdue debts. Credit accounts are not available for first time orders. If paying by credit card on an order and you require the goods to be delivered to an alternate address other than that which your credit card is registered to, we may need to verify your details before we can process your order. FAGAN OFFICE SUPPLIES LTD reserves the right, by giving you notice at the time you place your order, to increase the price of the Products to reflect any increase in the cost to FAGAN OFFICE SUPPLIES LTD which is due to any factor beyond its control.

All BrandHub orders must be paid for at the time the order is placed. Visa and MasterCard are accepted as methods of payment. Transactions are in £ Pound Sterling or € Euro or a conversion rate based on € euro in your own currency.

5. Returns

You may return items within a 14 day period of the date the order was placed for a full credit.

However, if you are returning unwanted items after the 14 day threshold, you need to contact our telesales team to arrange same.

All unwanted goods for return must be unused, complete, and in as new condition and in their original and unmarked packaging (not resealed with brown tape). Once the goods have been received back into our warehouse and their condition checked, you will receive your credit, either in the form of a credit note or direct to your credit card, if that was how you purchased the goods originally. If they are not in a suitable condition, we reserve the right to refuse issuing a credit.

Products such as laptops, selected business machines and software (provided they are unopened and unused only) are excluded from our standard returns policy. Food and drink, made-to-order and personalised items are also non-returnable at any time.

Unavailability

In the event that a product is unavailable for whatever reason, we will contact you to ask you whether you would like us to supply a suitable alternative product. We will not supply you with an alternative product unless we receive instruction from you that you wish us to do so. If you opt not to purchase an alternative product, we will refund the full value of the product and any applicable carriage charges

Returns of BrandHub Merchandise

BrandHub will issue you with a Returns Form and Returns Code, explain our simple Returns Procedures and arrange to collect the item. Upon receipt of the item(s) a full refund will be made within 30 days. Returns cannot be used as a reason to not pay an invoice or partial invoice.

If items are returned that are not faulty and it is a change of mind of the buyer it is at the buyers cost that returns are made. If the product is in re-merchandiseable quality, returns will be refunded, excluding a 15% restocking charge. This refund is issue. 6. Damaged, Missing or Faulty Items

If any items are damaged or missing from your order, please contact us within 24 hours of your delivery on 044 9331200. We will the investigate your claim and if acceptable, either directly replace the item or issue a credit. If an item has been incorrectly supplied, received damaged or is faulty, please contact our affiliate partner BrandHub on 00353 (0) 1 8394919 or e-mail returns@portfoliogroup.ie. BrandHub will issue you with a Returns Form and Returns Code, explain our simple Returns Procedures and arrange to collect the item. 7. Warranty

All products purchased through FAGAN OFFICE SUPPLIES LTD benefit from the manufacturers warranty or guarantee, if any. Legally, this clause only applies to business customers. Please note that the use of an electric screwdriver for the assembly of chairs will void your guarantee.

8. Liability

Use of BrandHub products will be at your risk from the time of delivery. Ownership of the Products will only pass to you when we receive full payment of all sums due in respect of the Products, including delivery charges

9. General

FAGAN OFFICE SUPPLIES LTD shall not be liable to you for any loss or damage which you might suffer arising from FAGAN OFFICE SUPPLIES LTD delay in fulfilling or failure to fulfil any of its obligations under these Terms to the extent that such delay or failure is caused by any circumstance beyond FAGAN OFFICE SUPPLIES LTD reasonable control. If due to such circumstances or events FAGAN OFFICE SUPPLIES LTD has insufficient stocks to meet all its orders, FAGAN OFFICE SUPPLIES LTD may apportion available stocks between its customers at its sole discretion. These Terms and any terms appearing on any order form to which these Terms apply constitute the entire agreement between you and FAGAN OFFICE SUPPLIES LTD relating to the Products. The failure of FAGAN OFFICE SUPPLIES LTD or you to enforce any of these Terms does not constitute a waiver of that term and shall in no way affect the right later to enforce the term. These Terms will be construed in accordance with the laws of The Republic of Ireland and any disputes shall be settled by the Irish courts.

Applicable laws require that some of the information or communications we send to you should be in writing. When using our site, you accept that communication with us will be mainly electronic. We will contact you by e-mail or provide you with information by posting notices on our website. For contractual purposes, you agree to this electronic means of communication and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirements that such communications should be in writing. This condition does not affect your statutory rights.

Transfer of rights and obligations

The contract between you and us is binding on you and us and on our respective successors and assigns. You may not transfer, assign, charge or otherwise dispose of a Contract, or any of your rights or obligations arising under it, without our prior written consent. We may transfer, assign, charge, sub-contract or otherwise dispose of a Contract, or any of our rights or obligations arising under it, at any time during the term of the Contract.

Events Outside our Control

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by events outside our reasonable control 'Force Majeure' Event. A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:

- Strikes, lock-outs or other industrial action.
- Common commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war.
- Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster.
- Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
- Impossibility of the use of public or private telecommunications networks.
- The acts, decrees, legislation, regulations or restrictions of any government.

Our performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Contract may be performed despite the Force Majeure Event.
